SEC Prescribes Interim Guidelines For Filing of Annual Reports and Request for Documents Pending Closure of SEC Main Office

Given the extended closure of the Securities and Exchange Commission (“SEC”) Main Office until 26 July 2020, the SEC, through a 12 July 2020 Notice, Re: Filing of Annual Reports During the Temporary Closure of the SEC Main Office Until 26 July 2020 (“SEC Notice”), has adjusted the procedure and deadlines for the submission of Annual Financial Statements (“AFS”) and General Information Sheets (“GIS”).

The deadline for filing the AFS will depend on the corporation’s SEC registration/license number, as follows:

With respect to the GIS, corporations which held their annual stockholders’ meetings in the National Capital Region during the Enhanced Community Quarantine and Modified Enhanced Community Quarantine have until 31 August 2020 to submit their GIS.

As to manner of submission, submission to the SEC Main Office shall be via courier using the SENS facility at http://sens.secexpress.ph. Nevertheless, corporations may continue sending scanned copies of signed and notarized, if applicable, reports through the following email addresses:

The documents shall be considered received on the date stated in the Acknowledgment Receipt (“AC”) the SEC shall send by email. Accordingly, the printed copies may be submitted through courier or the Philippine Postal Corporation following the filing schedule provided above, but the reckoning of the date of receipt shall be based on the AC.

As for requests for copies of their submissions, corporations may request for their return copies by including in their submissions prepaid return envelopes with stamps, although no request for return copies may be processed on the same day. Alternatively, corporations may request for plain or authenticated copies of their AFS, GIS and other documents through the SEC Express System at https://secexpress.ph two (2) months after receipt.

Self-service processing with respect to requests for documents shall remain suspended until further notice. In the meantime, requests for plain or authenticated copies of annual reports and other documents may be submitted through the SEC Express System at https://secexpress.ph. However, such requests shall be processed upon the resumption of operation in the SEC Main office, and requested documents will be released five (5) to seven (7) working days from 27 July 2020.
