Professional Background
Ms. Salonga is a Partner in our Corporate and Special Projects Department. Her practice focuses on securities and capital markets, project finance, competition law, corporate governance, and general corporate advisory. She has significant experience assisting both domestic and foreign clients on regulatory, transactional, and compliance matters.
She has acted as counsel in a range of capital markets and securities transactions, including representing underwriters in initial public offerings and follow-on offerings by companies in the food production, technology retail, semiconductor manufacturing, and consumer goods sectors. Her regulatory advisory work covers cross-border financial products, ISDA documentation, derivatives transactions, and securities-law disclosure requirements. She also advises on exemptions from securities registration, employee stock option plans, and beneficial-ownership reporting. Her corporate practice includes advising on mergers and acquisitions; handling compulsory merger notifications; assisting in project financing documentation; conducting legal due diligence on various target companies; and overseeing corporate housekeeping.
Before joining the Firm, Ms. Salonga served in the Office of the President and in the Supreme Court of the Philippines. She is part of the academe, teaching Corporation and Securities Law and Comparative Corporate Governance. She also serves as Executive Director of the Movement Against Disinformation (MAD), a non-partisan, coalition advocating systemic responses to online disinformation.
Ms. Salonga earned her Master of Laws from the University of Sydney under the Australia Development Scholarship, and her Juris Doctor from the Ateneo de Manila University School of Law.
