The Securities and Exchange Commission (“SEC”) issued a Notice dated 31 March 2021 extending the deadline for the submission of the General Information Sheets (“GIS”) to all corporations following the implementation of enhanced community quarantine in the National Capital Region and its neighboring provinces, and the implementation of the Online Submission Tool (“OST”).
Under the adjusted deadline, all corporations, whether stock or non-stock shall submit their respective GIS within ninety (90) calendar days after the Annual Stockholder’s Meeting or Annual Member’s Meeting of the Directors, Trustees and Officers of the corporation as fixed in their by-laws or as determined by the Board of Directors/Trustees.
The adjusted deadline also applies to stock corporations that were able to hold their Annual Stockholder’s Meeting prior or during the OST enrollment period, and to corporations that were not able to hold any Annual Stockholder’s Meeting in 2020 who had until 30 January 2021 to submit their respective GIS.
