SEC Extends Transitional Use of the 2020 GIS Form for eFAST Filings Until 31 July 2026

The Philippine Securities and Exchange Commission (“SEC”) has extended the transitional use of the 2020 General Information Sheet (“GIS”) Form for the filing of the GIS and the Beneficial Ownership Declaration (“BOD”) Page through the SEC’s Electronic Filing and Submission Tool (“eFAST”) until 31 July 2026.

The extension comes as the SEC continues to rollout the Hierarchical and Applicable Relations and Beneficial Ownership Registry (“HARBOR”), a web-based platform introduced to centralize the submission and maintenance of corporate beneficial ownership information. Fully integrated with eFAST, HARBOR serves as the SEC’s centralized repository for beneficial ownership disclosures.

In line with the launch of HARBOR, the SEC introduced the 2026 GIS Form, which no longer includes the BOD Page, as beneficial ownership information is now filed separately through the new platform. The transition is part of the SEC’s revised beneficial ownership reporting framework under SEC Memorandum Circular No. 15, Series of 2025, which seeks to improve the efficiency and accuracy of beneficial ownership reporting. Under this framework, corporations are no longer required to re-submit the same beneficial ownership information every year. Instead, previously filed information may simply be revalidated, with updates required only when there are changes in beneficial ownership.

To facilitate a smooth transition to the new reporting system, the SEC has allowed corporations to continue using the 2020 GIS Form, including the BOD Page, for GIS filings made through eFAST during the extended period while the SEC continues to address technical issues affecting the filing process.
